Terms of sale
Terms of Sale
The commercial terms behind every quotation we issue: pricing, orders, tooling, payment, lead times, inspection and how disputes are resolved.
These terms apply to quotations, orders and shipments from Wenzhou Gangtong Stationery & Crafts Co., Ltd. (brand: AJMZ), unless a signed contract or a written quotation states otherwise.
1. Who we are
We are a manufacturer and export supplier based in Wenzhou, Zhejiang, China. Our registered address is:
No.34, F05 Zone, Wanyang Industrial Park,
Haixi, Pingyang, Wenzhou, Zhejiang, China 325400
Telephone +86-577-63756528 / Mobile and WhatsApp +86-13305779811 / Email sales01@jmzglobal.com
We produce to a written specification. Nothing on this website or in a quotation is a consumer offer.
2. Quotations and pricing
- We do not publish list prices. Every item is made to order, so price depends on material, size, quantity, finishing and branding.
- Quotations are issued in US dollars and typically returned within one to two working days of receiving a specification.
- A quotation is valid for 30 days from its date unless it states otherwise. Material costs move, and a quotation older than 30 days will be re-confirmed before an order is accepted.
- Quotations cover the item, tooling (where applicable) and the Incoterm we have agreed. Freight, insurance, duties and taxes are included only when the quotation says so.
- Prices are based on the quantity and specification quoted. A change to either will be re-quoted before production.
3. Orders and acceptance
- An order exists when we confirm it in writing and the deposit required under section 7 has been received.
- Purchase orders should state: item, specification or drawing reference, material, finish, branding, quantity, packing, Incoterm, destination and required date.
- Where our specification sheet and your purchase order disagree, the specification sheet we send for approval governs.
- We hold the approved specification on file. Repeat orders are produced against it, which is why reorder number twelve matches order one.
4. Tooling, moulds and dies
- Tooling is quoted separately and stated upfront. It is charged only when a project needs a new mould, die or deboss plate — custom shapes, embossed logos, bespoke hardware.
- Tooling costs are quoted, never added later.
- Tooling is produced to your drawing or sample. Once you approve the tooling sample, the tool is committed to production.
- Tooling remains in our workshop and is used to produce your orders. If you need to move production elsewhere, tell us and we will discuss the position in writing.
- Where a customer asks us to store tooling for future orders, we do so free of charge for 24 months from the last order. After that period, please confirm you still want it retained.
5. Artwork, branding and intellectual property
- You confirm that you own, or are licensed to use, every logo, mark, image and design you send us, and that producing goods to that artwork does not infringe anyone's rights.
- You grant us a licence to use that artwork only to produce and ship your order.
- We will not sell goods bearing your branding to anyone else, and we will not use your artwork in our own marketing without your written permission.
- We may sign an NDA before you send confidential drawings or artwork. Ask for one with your first enquiry — send that first and we will return a signed NDA before you share anything confidential.
6. Samples and approval
- Samples take 7–10 days from confirmed artwork.
- Sample charges, where they apply, are stated on the quotation. Sample cost is normally credited against the order when the order goes ahead.
- Nothing goes into production until the sample is approved in writing. Where you approve a sample, that approval confirms material, colour, construction, branding and print finish for the run.
- Small variations between a sample and a production run are normal in manufacturing. We work to the tolerances agreed in the approval, and we state those tolerances before you approve.
7. Payment
| Bank transfer (T/T) | 30% deposit on order confirmation, 70% before shipment |
|---|---|
| Letter of credit | L/C at sight for container orders |
| PayPal | For samples, tooling and smaller orders |
| Alipay | +86-13305779811 |
We invoice in US dollars from our company account. Other mainstream methods can be arranged — tell us what your finance team prefers and we will confirm it on the quotation.
8. Lead times
| Quotation | 1–2 working days from specification |
|---|---|
| Sample | 7–10 days from confirmed artwork |
| Production | 25–35 days after sample approval |
- Lead times run from the later of sample approval and deposit receipt.
- Lead times cover production. Transit time is additional and depends on the Incoterm and route.
- Where an order is placed close to Chinese New Year, a national holiday period, or a period of known capacity pressure, we will state the effect on the lead time in the quotation rather than after the order.
9. Inspection and quality
- Every order ships under one inspection report — the same AQL, the same checklist and the same photo report across every item in the order, not only the easy ones.
- Where a customer specifies their own checklist or a third-party inspection, we will work to it; the cost of a third-party inspection is borne by the customer.
- Compliance documents — certification, test reports, compliance questionnaires — are provided as they actually are. We do not issue documents we do not hold.
10. Title, risk and insurance
- Title and risk pass in accordance with the Incoterm stated on the quotation (FOB, CIF or DDP).
- Under FOB Ningbo or Shanghai, risk passes when the goods are loaded on board. We recommend you arrange your own cargo insurance.
- Under CIF, we arrange marine insurance to the minimum cover customary for the route. Tell us if you need wider cover.
- Under DDP, we handle freight, import clearance and final-mile delivery to the address on the order.
11. Confidentiality
- We treat your specifications, drawings, artwork, price terms and customer information as confidential.
- We do not disclose that you are our customer without your agreement, and we do not use your branding in our marketing without written permission.
12. Limitation of liability
- Our liability for any order is limited to the invoice value of the goods in that order.
- We are not liable for indirect or consequential loss, including lost profit, lost production, or loss arising from a delay caused by matters outside our control.
- Nothing in these terms limits liability that cannot be limited under applicable law.
13. Force majeure
We are not in breach if a delay or failure is caused by something outside our reasonable control — including natural events, epidemic control measures, port or customs disruption, freight capacity shortages, power restrictions or changes in law. Where this happens, we will tell you promptly and agree a revised schedule in writing.
14. Governing law and dispute resolution
- These terms and any dispute arising out of or in connection with them are governed by the laws of the People's Republic of China.
- Any dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Shanghai, conducted in accordance with the CIETAC arbitration rules in effect at the time of the arbitration. The award is final and binding on both parties.
- The language of the arbitration shall be English. Nothing in this section prevents either party from applying to a court for interim or conservatory measures.
15. Changes to these terms
We may update these terms. The version in force is the one published on this page on the date your order is confirmed, unless your contract or quotation states otherwise.
